EXECUTIVE-SECRETARIAL Function The position will provide comprehensive and efficient support to the Company Secretary on managing compliance pertaining to Prevention of Insider Trading, Claims and matters etc., involving regulatory intervention and other related compliances pertaining to these and other areas as may be required. Pay Band E4 to M1 Role Prevention of Insider Trading ● Managing and maintaining structured digital database (SDD) ● Ensuring the framework for management of Unpublished Price Sensitive Information (UPSI) ● Managing the workflow for trading approvals, restrictions, closure of trading window, etc. ● Working of the entire process through an application and online tool for PIT. ● Disclosure and reporting requirements to be met as per timelines ● Running awareness sessions and campaigns in the organization Board Meetings and associated compliances and tasks ● Complete administrative and logistics support to the Board members ● Ensuring the compliances that the Board of Directors need to adhere to on an ongoing basis. ● Drafting relevant Agenda papers, minutes, etc., and providing support for Meetings (Board/Committee/Circular Resolutions) ● Payment of sitting fees, commission etc. to Board Members ● Running and maintaining the Board Application (NASDAQ BV), its data accuracy and updation. ● Support to the Company Secretary during the entire Board Meeting Process MIS, Legal matters, SEBI and Regulatory compliances ● Managing the investors’ grievances/cases having involvement of various regulators, SEBI, MCA, ROC, stock exchanges, etc. ● Preparing various MIS on periodic basis for reporting to the senior management. ● Coordinating and dealing with the legal department and counsels for court, NCLT and other judicial matters. ● Ensuring all compliances and filings required to be made under the Companies Act, 2013 and Rules applicable to the Company. ● Filing of all forms and disclosures, arranging for DSC for the Directors, Company officials as and when required. ● Coordination with Registrar and Transfer Agent Other Secretarial compliances ● Ensuring other activities and compliances pertaining to the CS function as may be assigned from time to time. ● Support in preparation of Annual Report, conducting the AGM, etc. ● Record management A purpose driven role for you A Day in the life Academic Qualification & Experience CS mandatory, LLB preferred 5 years in secretarial and legal Technical Skills/Knowledge ● Prohibition of Insider Trading ● Maintaining SDD ● Management of UPSI ● Handling all secretarial aspects of a listed company ● Expert knowledge of statutory rules and regulations, ● Good understanding of legal matters and process followed Behavioural Skills ● Strong Collaboration ● Decision making and Problem Solving ● Strong analytical skills, ability to think rationally and act during crisis situations, stakeholder management What will it be like to work for Hero About Hero Experience Level Executive Level
